Terms and Conditions
These Terms and Conditions (“Terms”) govern your use of the website at verus.deals (the “Site”) and your dealings with Verus LLC (“Verus,” “we,” “us,” or “our”) about the evaluation, negotiation, and acquisition of music catalogs and royalty interests (the “Services”). By accessing the Site, responding to an invitation, or providing information to us, you (“you” or “your”) agree to these Terms. Please read them carefully.
1.Overview
Verus is a private company that acquires music catalogs and royalty interests from rights holders who choose to sell, including master recording rights, publishing and songwriter interests, producer royalties, and other income streams from musical works. We work by invitation. The Site is informational: it offers no accounts, submissions, or transactions. Nothing on the Site is an offer to purchase any catalog or rights, and no transaction is formed except by a written agreement signed by both parties.
2.Eligibility
To engage with Verus about a transaction, you must:
- Be at least 18 years old, or the age of majority where you live
- Own or control the catalog, works, recordings, or royalty interests you present, or be authorized to act for the person or company that does
- Provide accurate, complete, and verifiable information about ownership, agreements, and income
- Not be bound by agreements that would prevent the transfer under discussion, or disclose any such restriction to us
We may decline to engage, or stop engaging, with anyone at our discretion.
3.Invitations and confidentiality
Access to our process is by invitation. Invitations are personal, may be withdrawn at any time, and create no obligation on Verus to make an offer. Information exchanged during an evaluation is confidential. Where you and Verus sign a confidentiality or non-circumvention agreement, that agreement governs the information it covers, and where it conflicts with these Terms, the agreement controls.
4.Information you provide
- You are responsible for the accuracy and completeness of the information and documents you provide, including royalty statements, ownership records, and agreements with third parties.
- You authorize us to verify that information with performing rights organizations, publishers, administrators, labels, distributors, digital service providers, and other payors, and to obtain statements from them where permitted.
- You will tell us promptly if any information changes or turns out to be inaccurate.
- We may rely on the information you provide in deciding whether to make an offer and on what terms.
5.Letters of intent and definitive agreements
- An indication of interest, term sheet, or letter of intent is non-binding unless it expressly says otherwise, and then only as to the provisions it identifies, such as confidentiality, exclusivity, or expenses.
- A transaction is formed only by a definitive written agreement signed by both parties. Until then, either party may end discussions for any reason and without liability, subject to any obligations that survive under a signed confidentiality agreement or letter of intent.
- Closing is subject to due diligence, confirmation of chain of title, any third-party consents, and the conditions in the definitive agreement.
- The definitive agreement governs the rights acquired, the purchase price, payment, representations and warranties, and every other term of the transaction. These Terms do not.
6.Ownership and rights
- Until a transaction closes, you retain all rights in your catalog and royalty interests. Discussing a transaction with us does not transfer, license, or encumber anything.
- After closing, ownership is as set out in the definitive agreement and the assignments made under it.
- Neither party will publicly announce a transaction or use the other’s name or marks without written consent, except as the definitive agreement provides or the law requires.
7.No advice
Verus acts for its own account as a buyer. We are not your agent, broker, or fiduciary, and we do not provide legal, tax, accounting, or investment advice. Any valuation, estimate, or comparison we share is our opinion for the purpose of negotiation. It depends on assumptions and information that may change and is not a guarantee of value or of future income. Consult your own attorney, accountant, and financial adviser before entering into any transaction.
8.Use of the Site
- You may use the Site for lawful purposes only.
- You may not copy, scrape, reverse engineer, disrupt, or interfere with the Site, or use it to send unsolicited communications.
- The VERUS name, wordmark, gem device, and the design of the Site belong to Verus LLC and are protected by trademark and copyright law. You may not use them without our written permission.
- We may change, suspend, or discontinue the Site at any time.
9.Third-party services
Our process may involve third-party services, such as electronic signature, secure document sharing, or payment providers, each with its own terms. We are not responsible for third-party services, and any links on the Site are provided for convenience only.
10.Disclaimers
The Site and the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure. Nothing in this section limits the representations and warranties in a signed definitive agreement.
11.Limitation of liability
To the fullest extent the law allows, Verus and its members, managers, employees, and agents are not liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of income, profits, opportunities, data, or goodwill, arising from the Site, the Services, or these Terms, even if advised of the possibility. Our total liability arising from the Site or these Terms will not exceed one thousand US dollars ($1,000). This section does not limit liability that cannot be limited by law, and it does not limit liability under a signed definitive agreement, which is governed by that agreement.
12.Indemnification
You will indemnify and hold harmless Verus and its members, managers, employees, and agents from claims, losses, and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms, your violation of law, or inaccurate information you provide, except to the extent caused by our own negligence or misconduct.
13.Disputes and governing law
- These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles.
- If a dispute arises about these Terms or the Site, you agree to first send us a written description of it and to work with us in good faith for 30 days to resolve it.
- A dispute not resolved informally will be brought exclusively in the state or federal courts located in Wyoming, and each party consents to their jurisdiction. If a signed definitive agreement provides a different forum or requires arbitration, that agreement controls for the disputes it covers.
- To the extent the law allows, each party waives any right to a jury trial.
14.General
- These Terms and our Privacy Policy are the entire agreement about your use of the Site. They do not replace or change any signed agreement between you and Verus.
- If any part of these Terms is found unenforceable, the rest remains in effect.
- Our failure to enforce a provision is not a waiver of it.
- We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign them without our written consent.
- Notices to you may be sent to the email address you have given us.
15.Modifications
We may update these Terms at any time. Changes take effect when posted on the Site, with the effective date above updated. Your continued use of the Site or the Services after a change means you accept the updated Terms. Changes do not affect a signed definitive agreement.
16.Privacy
Our collection and use of your information is described in our Privacy Policy.
